OVERVIEW: The Charleston^® Magazine Reels Reward Contest (“Contest”) is Administered and Sponsored by DEZ Inc., the owner of Charleston^® Magazine (“Administrative Sponsor”). The winning prize is being provided by Carolina Rides (“Prize Sponsor”). Together, the Administrative Sponsor and Prize Sponsor are the “Sponsors.”
If you satisfy the eligibility requirements (described below) you may enter the Contest by posting an eligible reel on Instagram more fully described in the “How to Enter” section below. Following the conclusion of the Contest Period, winners will be determined based upon the criteria set forth by Administrative Sponsors, described in more detail below. Participation in this Contest constitutes Entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor.

ELIGIBILITY: This Contest is open only to (i) individuals who are eighteen (18)+ years of age and the age of majority in their state or jurisdiction of residence, (ii) are registered users of a valid Instagram account, at least 30 days old, in good standing, with Internet access, and (iii) who reside and are physically located in one (1) of the fifty (50) United States or District of Columbia (the “Territory”). Corporate entities are not eligible and have no right to claim any prize won by their employees.

Employees, officers, directors, and managers of Sponsors during the Contest Period, its advertising and promotion agencies, and any other entities participating in the design, promotion, marketing, administration or fulfillment of this Contest, as well as each of their respective parent corporations, subsidiaries and affiliated companies (collectively, the “Released Parties”) and members of the immediate families (defined for these purposes as including any spouse, partner, parent, legal guardian child, legal ward, sibling, grandparent, or grandchild and each of their respective spouses) and individuals living in the same household as such persons (whether or not related) are not eligible. This contest is void outside of the Territory and where prohibited by law.

HOW TO ENTER: Eligible entrants can enter to win one of two (2) Grand Prizes in two (2) separate ways. First, by creating and posting an eligible Instagram reel from their personal Instagram profile (i.e., no content from celebrities, public figures, government officials, small businesses, aggregator/compilation accounts, or publisher accounts) using the hashtag #ReelBeautifulCharleston (“Required Tag”). Reels posted in accordance with these Official Rules are referred to as “Entries”. Reels must be posted publicly from the user’s primary personal profile (no pages, secondary personal profiles, or groups) and be viewable without request/permission through the Contest Period and subsequent evaluation by Administrative Sponsor. Entries and any accompanying copy or material (collectively, “Content”) must comply with these Official Rules, the technical requirements to post on the Instagram platform’s Terms of Service, and “Content Requirements” detailed below. Entries must be kept publicly viewable for at least one (1) year after this Contest concludes. Ensure you have an active email account associated with your Instagram account, which will be used to communicate regarding this Contest. It is possible the contest hashtag may be added automatically to the description of your reel by Instagram.

Entries must be published and viewable by Administrative Sponsor during the Contest Period on the Instagram platform and all participation must be in strict accordance with the instructions and restrictions on the Instagram platform and in these Official Rules. For purposes of this Contest, publishing a reel does not constitute proof of actual effective Entry, which will only be determined according to Sponsor in its sole discretion.

Second, by voting on one favorite out of nine #ReelBeautifulCharleston finalists chosen by the Administrative Sponsor. Each vote constitutes an entry into a random drawing to win. Voters must opt in by visiting Administrative Sponsor’s Landing Page and entering a valid email address.

Those who do not abide by these Official Rules and any instructions may in Administrative Sponsor’s sole discretion be disqualified. Entries (or participation that does not qualify as an “Entry”) that are incomplete, lost, late misdirected, mutilated, fraudulent, illegitimate, incomprehensible, garbled or generated by a macro, bot, by Administrative Sponsor in its sole discretion) or originating through any third-party services will be declared invalid and disqualified for this Contest. No Released Party will have any responsibility or liability for any dispute regarding any Entrant, including the identity of any natural person associated with account. If any dispute regarding an Entry or Entrant cannot be resolved to Administrative Sponsor’s satisfaction, the Entry will be deemed ineligible, and the Entrant disqualified.

ENTRIES OR PARTICIPATION MAY NOT BE ACKNOWLEDGED. Administrative Sponsor reserves the right in its sole discretion to disqualify from the Contest any Entrant whose Content refers, depicts, or in any way reflects negatively upon a Released Party, the Contest, or any other person or entity or does not comply with any provision of these Official Rules (including the above Content Requirements), all as determined by Administrative Sponsor in its sole discretion.

INSTAGRAM REEL CONTENT REQUIREMENTS: Your Content must meet all the requirements in these Official Rules, including the following, or the associated entry will be disqualified:

• Content must be in English or contain English subtitles.
• Content must contain material focused on Charleston, South Carolina.
• Content must contain the Required tag #ReelBeautifulCharleston
• Content must be original to Instagram Reels (e.g., no reposts, no sharing of Instagram Reels to Facebook, etc.) and not entered in any prior contest or promotion prior to the Contest Period.
• Content must only be posted on Instagram as an Instagram Reel during the Contest Period.
• Content must be vertically aligned and of suitable video quality and resolution.
• Content must not infringe, misappropriate, or violate any rights of any third party including, without Imitation, copyright (including moral rights), trademark, trade secret* or rights of privacy or publicity. Reels may contain music from the Reels Audio library or be original audio from the Entrant.
• Content must not include information or content that is related to politics, false, fraudulent, deceptive, misleading, defamatory (include trade libel), disparaging, unlawfully harassing, threatening profane, obscene, pornographic hateful, indecent, violent* inappropriate, or injurious to any Released Party or any other party. Content must not contain or describe any harmful or illegal activity or content or in any way violate any federal, state, or local laws, rules, or regulations.
• Content must be suitable for presentation in a public forum.
• Content must not suggest, depict, or describe any inappropriate unlawful, or dangerous behavior.
• You agree that your participation in the Contest and agreement to these Official Rules and any Released Party’s display and use of the Content permitted under these Official Rules will not guard against all claims from any third party for any use or reuse by any Released Party of the Content permitted under these Official Rules.

WINNER SELECTIONS/NOTIFICATIONS: After the Contest Period, qualifying reels and voters will be evaluated by Administrative Sponsor to determine the winners. Entry and Content eligibility are subject to Administrative Sponsor verification in its sole discretion. Potential winners may be contacted via email and Instagram channels and will be required to respond to the Administrative Sponsor’s or its representative’s winner notification within 14 days (or other specified time frame) or prize may be forfeited. Each potential winner may be required to complete, execute, have notarized a Hold Harmless Agreement (if applicable), and return an Affidavit/Declaration of Eligibility and Liability/Publicity Release (unless prohibited by law), tax documents, and related Contest-participation documents (collectively, “Program Documents”) within the time frame specified and (in the form provided by Administrative and/or Prize Sponsor, without revision, or receipt of a prize may be forfeited. If any potential winner is determined ineligible or not in compliance with these Official Rules, fails to claim prize or otherwise follow Administrative and/or Prize Sponsor’s instructions, prize may be forfeited, and an alternate winner may be selected. Administrative Sponsor reserves the right to modify the notification procedures in connection with the selection of an alternate potential winner, if any.

PRIZES & APPROXIMATE RETAIL VALUE (“ARV”): The two (2) Grand Prizes are Scooters valued at $3200 each. Winners are strictly prohibited from selling, auctioning, trading or otherwise transferring any part of a prizes except with Sponsor’s permission, which may be granted or withheld for any reason in its sole discretion. No transfers, prize substitutions, or cash redemptions will be made, except at Prize Sponsor’s sole discretion. Prize Sponsor reserve the right to substitute any stated prize or portion thereof with another prize or portion thereof of equal or greater value for any reason, including, without limitation, prize unavailability. No more than the stated prize will be awarded. Entrants waive the right to assert, as a cost of winning any prize, any and all costs of verification and redemption or travel to claim the prize and any liability and publicity which might arise from claiming said prize.

As a condition of accepting a prize in this Contest, without limiting any other provision in these Official Rules, each Entrant gives consent for Sponsors to obtain and deliver his/her name, address and other information and Entry to third parties for the purpose of fulfilling prizes and complying with applicable laws, regulations, and rules. Winners agree not to use prizes in any way, directly or indirectly, that would violate applicable laws, including, without limitation, in any manner that would constitute bribery, an illegal kickback, an illegal campaign contribution, or any other violation of applicable anti-corruption, political activity, economic sanctions, or other laws. An individual can only win one (1) Grand Prize in Reels rewards contests per calendar year. Individuals may enter and win other, smaller prizes subject to each contests’ official rules.

LIMITATION OF LIABILITY: NOTHING IN THESE OFFICIAL RULES LIMITS, EXCLUDES, OR MODIFIES OR PURPORTS TO LIMIT, EXCLUDE, OR MODIFY ANY STATUTORY CONSUMER GUARANTEE OR ANY IMPLIED CONDITION OR WARRANTY, THE EXCLUSION OF WHICH FROM THESE OFFICIAL RULES WOULD CONTRAVENE ANY STATUTE OR CAUSE ANY PART OF THESE OFFICIAL RULES TO BE VOID (“NON-EXCLUDABLE GUARANTEES’). SUBJECT TO THE LIMITATIONS IN THE PRECEDENG SENTENCE AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH ENTRANT AGREES TO RELEASE AND HOLD HARMLESS THE ADMINISTRATIVE AND PRIZE SPONSORS, AND THEIR PARENT AND SUBSIDIARY COMPANIES, RESPECTIVELY, AFFILIATES, DIVISIONS, FRANCHISEES, VENDORS, REPRESENTATIVES, CONSULTANTS, SUB-CONTRACTORS, SUPPLIERS, DISTRIBUTORS, LEGAL COUNSEL, ADVERTISING, PUBLIC RELATIONS, PROMOTIONAL, FULFILLMENT AND MARKETING AGENCIES (COLLECTIVELY, THE “RELEASED PARTIES”) FOR ANY LIABILITY WHATSOEVER ASSOCIATED WITH PARTICIPATION IN THIS CONTEST, INCLUDING WITHOUT LIMITATION, FOR INJURIES OR DAMAGES. BY PARTICIPATING IN THIS CONTEST, YOU UNDERSTAND THAT YOU MAY BE. WAIVING RIGHT RESPECT TO CLAIMS THAT ARE AT THE TIME UKNOWN OR UNSUSPECTED.

DISCLAIMER: Employees, officers, directors, members, managers agents, and representatives of the Released Parties are not responsible and/or liable for any of the following, whether caused by a Released Party, the Entrant, or human error (except to the extent that any of the following occur for reasons within Sponsor’s reasonable control, if applicable law in your jurisdiction of residence dictates that liability to the injured party in such a case not be excluded by law): any lost, late stage-due, incomplete illegible, incomprehensible, mutilated, or misdirected email, mail, or Contest-related correspondence or materials; any error, omission, interruption, deficit, or delay in transmission or communication; viruses or technical or mechanical malfunctions: interrupted telephonic, cellular, cable, or satellite systems; typos or misprints in these Official Rules, in Contest-related advertisements or other materials; failures of electronic equipment, computer hardware or software; lost or unavailable network connections or any failed, incorrect, incomplete, Inaccurate, garbled delayed electronic communications; technical or human error which may occur in the administration the Contest or the processing of applications; or any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Contest. Released Parties are not responsible for electronic communications that are undeliverable because of any form of active or passive errors of any kind, out-of-date contact information, or for insufficient space in a person’s email account or voicemail inbox to receive emails or voice messages. Released Parties are not responsible, and may disqualify an entrant, if any contact information provided by the Entrant does not work or is changed without giving prior written notice to both Sponsors.

Without limiting any other provision in these Official Rules, the Released Parties are not responsible or liable to any Entrant (or any person claiming through such Entrant) for any inability of proceed with the Contest at any stage, in the event that any of the Contest activities or Administrative and/or Prize Sponsor’s operations or activities are affected, as determined by Sponsors by any cause or event beyond the sole and reasonable control of the applicable Released Party (as determined by Sponsors in their sole discretion). All Entrants, as a condition of entry, agree to be bound by these Official Rules and the decisions of the Sponsors. Failure to comply with these Official Rules may result in disqualification from this Contest. Entrants further agree to not damage or cause interruption of the Contest and/or prevent others from participating in the Contest. Administrative Sponsor reserves the right to restrict or void online entries if any suspicious entry and/or participation is detected.

Administrative Sponsor reserves the right in its sole discretion, to void entries of any Entrants who Administrative Sponsor believes have attempted to tamper with or impair the administration, security, fairness, or proper play of this Contest. Administrative Sponsor’s failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision. In the event there is an actual ambiguity, discrepancy, or inconsistency between disclosures or other statements contained in any Contest-related materials and these Official Rules (including any alleged discrepancy or inconsistency within these Official Rules, it will be resolved by Administrative Sponsor in its sole discretion. Entrants waive any right claim ambiguity in the Contest structure or these Official Rules.

If Administrative Sponsor determines, at any time and in the sole discretion that a winner or potential winner is disqualified, ineligible, in violation of these Official Rules, or engaging in behavior that Administrative Sponsor deems obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, or harass any other person, Administrative Sponsor reserves the right to disqualify that winner or potential winner, even if the disqualified winner or potential winner may have been notified or displayed or announced anywhere. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein, If the Contest is not capable of running as planned for any reason, Administrative Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Contest and award the prizes from eligible, non-suspect entries received prior to cancellation, modification, or suspension or as otherwise deemed fair and appropriate by Administrative Sponsor, If any person supplies false information, obtains entries by fraudulent means, or is otherwise determined to be ‘ violation of these Official Rules in an attempt to obtain any prize, Administrative Sponsor may disqualify that person and seek damages from him or her and that person may be prosecuted to the full extent of the law.

CAUTION: ANY ATTEMPT TO DAMAGE AN ONLINE SERVICE OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY VIOLATE CRIMINAL AND CIVIL LAWS, IF SUCH AN ATTEMPT IS MADE, ADMINISTRATIVE SPONSOR MAY DISQUALIFY ANY ENTRANT MAKING SUCH ATTEMPT AND MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW. DISPUTES/GOVERNING LAW: Except where prohibited by law, any and all disputes, claims, and causes of action between an Entrant and any Released Party arising out of or connected with this Contest or these Official Rules must be resolved individually, without resort to any form of class action or legal action on behalf of any group. This Contest and any dispute arising under these Official Rules or related to these Official Rules, or the Contest will be governed by the internal laws of the State of residence that would cause the application of the laws of any other jurisdiction.
